Yours truly, - Signature - (Surin Tanticharoenkiat) Board Secretary Board Secretary Division Tel. 02 695 9499 Ext. 9335, 9331 Fax 02 695 9493 Page 2 of 2 Sales of Shares of Major Shareholders and Appointment of a New Director & Managing Director Padaeng Industry Public Company limited has received information that its two major shareholders, i.e. Umicore and Nyrstar, on April 4 sold their entire shareholding of 22% and 24.9% respectively in Padaeng Industry Pcl through Asia Plus Securities Pcl into the market. As a consequence of this transaction, the directors representing the two previous major shareholders, and the Managing Director tendered their resignation on the same day of the sale. The Company's Board of Directors immediately convened to acknowledge the said transaction and the resignation of the directors. Since the position of the Managing Director is of utmost importance to the operation of the Company,the Board therefore resolved to appoint Mr. Andre van der Heyden who is former Senior Vice President of Umicore Zinc and former Managing Director of Padaeng Industry Pcl as new director and Managing Director effective immediately. The mission of the new Managing Director with the full endorsement of the Board of Directors is to guide the Company from its present status to that of a regional enterprise and to intensify the mining activities both in Thailand and in the neighboring countries. Established on April 10, 1981, Padaeng Industry Public Company Limited is listed on the Stock Exchange of Thailand in the Resources Sector (Mining). The company is the only producer of high quality zinc in South East Asia, with an annual production capacity of 110,000 metric tons of zinc metal and alloy.
