PDI.B.02.89/99 2 November 1999 To : President The Stock Exchange of Thailand Re. : Notification on deposition of shares in an other company This is to notify to the SET that on1 November 1999, Padaeng Industry Public Company Limited sold 11,377,300 shares out of the total 12,573,710 shares equal to 2.65 % of total shareholding in National Fertilizer Public Company Limited (NFC) to investors in the SET. The net proceeds totalled Bt50,300,435.20. A loss of Bt63,472,564.80 from the said shares sale will be acknowledged in the companys reviewed financial statement for the fourth quarter of 1999. And after the above-referred shares disposition, the company still holds 1,196,410 shares or 0.25% of NFCs total paid-up shares. The volume of transactions based on calculations according to each classification, as stated in the SETs notification with regard to criteria concerning the acquisition and disposition of asset based on the reviewed quarterly financial statements ended 30 June 1999 are as follows : Class 1 - the value of assets disposed of, compared with the value of assets of the listed company and subsidiaries collectively : The transaction size is 5.79% (61,538,356/1,063,104,599x100); Class 2 - the net after tax profit from the normal course of business operations derived from the assets disposed of, compared with the net profit of the listed company and subsidiaries : None Class 3 - the total value of consideration received, compared with the value of assets of the listed company and subsidiaries : The transaction size is 1.01% (50,300,435/4,979,104,239x100). The above-referred transactions does not fall in any category according to the SETs rules, procedures and disclosures of information regarding the acquisition and disposition of assets of listed companies nor any connected transactions of listed companies. Objective of the asset disposition : To sell out non-performing asset which does not enhance the companys main business.
