[Translation] Ref.PDI.02.70/99 14 July 1999 To : President The Stock Exchange of Thailand Re. : Report on the utilization of the increased capital as at 30 June 1999 We refer to (a) paragraph 8 of notification of the board of governors of the Stock Exchange of Thailand, re. : rules, conditions and procedures governing the disclosure of information in respect of capital increase of listed companies dated 1 December 1995; (b) the first tranche of new shares allotted and sold to a specific investor in October 1998 totalling 6,530,435 units at Baht 14 each, of which the net fund received amounted to Bt82.79m; and (c) our letter ref. PDI.B02.61/99 of 28 May 1999. According to the objective and plan of the capital increase, all proceeds would be repaid for the company's debt-outstanding in accordance with an Override Agreement signed with the creditor. Since the company has entered into an Override Amendment Agreement dated 25 June 1999 to change the repayment schedule of Tranche A debt-outstanding. Therefore, the proceeds has been continuously utilized as the company's working capital for the time being until the new due date for one lumpsum repayment of Tranche A on 15 September 2000.
